1. Introduction

Welcome to Forstock Technologies Inc. (“Forstock,” “we,” “us,” or “our”). Please take a moment to read these Terms of Service (“Terms”), as they govern your access to and use of forstock.io, our web and mobile applications, and any other site or service that links to these Terms (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms, along with our Privacy Policy (together, the “Agreements”). Please read them carefully. If you do not agree with (or cannot comply with) these Agreements, you may not use the Services. Business Use Only. The Services are intended for business use, not consumer use. You must be at least 18 years old to access or use the Services.

1) Agreement to Terms

By accessing or using the Services, you agree to be bound by these Terms and all policies referenced in them (including our Privacy Policy). If you are entering into these Terms on behalf of a company, you represent you have authority to bind that company. If you do not agree, do not use the Services.

2) Changes to Terms

We may update these Terms. If we make material changes, we’ll post the new Terms and update the “Last updated” date, and provide additional notice where required by law. Your continued use after changes become effective constitutes acceptance.

3) Eligibility & Accounts

  • Age & capacity. You must be at least 18 and able to form a binding contract.

  • Registration. Provide accurate, current, and complete info and keep it up to date.

  • Security. You’re responsible for your credentials and all activity under your account. Notify us promptly of unauthorized use.

  • Admins & users. Account admins are responsible for their team’s compliance.

4) Orders, Subscriptions & Billing

  • Plans. Access is subscription-based per plan shown at checkout or in an order form (each, an “Order”).

  • Term & auto-renewal. Subscriptions renew automatically for successive terms equal to the expiring term unless canceled under Section 15.

  • Billing. You authorize us (and our payment processors or platform billing, as applicable) to charge all fees and applicable taxes on the schedule stated in your Order.

  • Platform billing (if used). If purchased through a platform’s native billing (e.g., Shopify Billing), fees are collected under that platform’s terms; refunds follow that platform’s processes unless your Order states otherwise.

5) Pricing, Taxes, Fee Changes, Refunds

  • Fees & taxes. Fees are exclusive of taxes; you’re responsible for sales/use/VAT/GST and similar taxes (excluding our net income taxes). Fees are in USD unless stated otherwise in your Order.

  • Fee changes. We may change fees upon renewal; we’ll notify you where required. Continued use after the effective date constitutes acceptance.

  • Refunds. Unless your Order says otherwise or required by law, fees are non-refundable. We may issue credits/refunds at our discretion.

6) Trials, Beta & Evaluation Features

Trials and Beta/Preview features are provided as-is, may change or end at any time, and are excluded from any uptime or support commitments. Beta usage is confidential and for evaluation only.

7) Acceptable Use

You will not (and will not permit anyone to): violate law or third-party rights; probe or bypass security; copy/modify/derive from/decompile/reverse engineer the Services (except where prohibited restrictions are unenforceable by law); access the Services to build a competitor or benchmark publicly without our consent; transmit malware or illegal/abusive content; overload/disrupt the Services; or resell/lease/sublicense except as expressly permitted. We may suspend or limit access for suspected violations.

8) Customer Data & Privacy

  • Customer Data. Data you submit to the Services, including data retrieved from connected systems (e.g., product/SKU, inventory, orders/fulfillments, supplier/lead-time/MOQ) and derived analytics tied to your environment.

  • Ownership. As between you and Forstock, you own Customer Data.

  • Our use. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and create aggregated/de-identified data from Customer Data to provide, secure, and improve the Services. Aggregated/de-identified data will not identify you or your end customers.

  • Privacy. Our Privacy Policy explains how we collect and process personal data.

  • DPA. If we process Personal Data on your behalf, the Forstock Data Processing Addendum (DPA) (reflecting GDPR/UK GDPR) is incorporated by reference. A copy is available on request at legal@forstock.io.

9) Third-Party Platforms & Integrations (e.g., Shopify)

Enabling integrations instructs us to access and process data from those platforms as necessary to provide the Services. Your use of third-party platforms is governed by their terms (e.g., Shopify’s). We are not responsible for third-party platforms, their availability, or their handling of data. You’re responsible for obtaining necessary rights and consents to connect and share data.

10) Intellectual Property; License to You

We and our licensors retain all rights in the Services (software, designs, know-how, documentation). Subject to these Terms and timely payment of fees, we grant you a non-exclusive, non-transferable, non-sublicensable, limited right during your subscription term to access and use the Services for your internal business purposes. Except as expressly granted, no other rights are granted by implication or otherwise.

11) Your Feedback to Us

If you provide feedback or suggestions, you grant Forstock a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use and incorporate it without restriction.

12) Confidentiality

Confidential Information” means non-public information disclosed by either party that is identified as confidential or should reasonably be understood as confidential. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel/contractors under confidentiality obligations and with a need to know. Exceptions: information that is public, already known, independently developed, or rightfully received from a third party. Required disclosures are permitted with reasonable notice where lawful.

13) Service Availability; Support; SLA

The Services may be unavailable due to maintenance, updates, or outages. Unless a separate written SLA is in place, the Services are provided as-is with no uptime commitments. Standard support is available via channels listed on our website during posted business hours.

14) Security; Exports; Backups

We implement industry-standard technical and organizational measures appropriate to risk (e.g., encryption in transit, access controls, monitoring). You may export your data via available product features during your active subscription. We perform regular backups for disaster recovery; you remain responsible for maintaining local copies/exports needed for your compliance.

15) Term; Suspension; Termination; Effect of Termination

  • Term. These Terms apply while you use the Services. Each subscription term is stated in the Order.

  • Suspension. We may suspend access for late payment, security concerns, or violations.

  • Your cancellation. You may cancel auto-renewal any time in-app or via support; access continues through the current term.

  • Termination for cause. Either party may terminate for uncured material breach after 30 days’ notice (10 days for unpaid fees).

  • Effect. Upon termination/expiration, your access ends. Upon request within 30 days, we will make available an export of Customer Data then stored in production systems (excluding system logs, archives, and aggregated/de-identified data). After that, we may delete Customer Data per our retention schedule; residual encrypted backups may persist for up to 90 days and are purged on the next cycle.

16) Disclaimers

THE SERVICES AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, FORSTOCK DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT OUTPUTS (INCLUDING FORECASTS/RECOMMENDATIONS) WILL MEET YOUR REQUIREMENTS OR BE FREE FROM ERROR.

17) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • No indirect damages. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

  • Cap. EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE BY YOU TO FORSTOCK FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

  • Exclusions. The cap does not limit your payment obligations, or either party’s liability for misuse of the other party’s IP, breach of confidentiality, or willful misconduct where such limits are prohibited by law. Some jurisdictions don’t allow certain limits; in that case, limits apply to the maximum extent permitted.

18) Indemnification

You will defend, indemnify, and hold harmless Forstock and our affiliates, officers, directors, employees, and agents from claims, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your Customer Data (including alleged infringement or legal violations); (b) your use of the Services in violation of these Terms or law; or (c) your integrations or third-party systems you connect. We’ll promptly notify you and cooperate at your expense; you won’t settle a matter imposing obligations on us without our prior written consent.

19) Electronic Communications & Signatures

You consent to transact electronically. Electronic signatures, click-wrap acceptance, and electronic records satisfy legal writing and signature requirements.

20) International Use; Compliance; Sanctions

You will comply with applicable export control, sanctions, and anti-corruption laws. You represent and warrant you are not located in, or a resident of, any country embargoed by the U.S., EU, or UK, and are not a denied or restricted party.

21) Governing Law; Venue; Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules and the U.N. CISG. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware for any dispute not otherwise resolved. Either party may seek injunctive or equitable relief at any time to protect Confidential Information or IP.

22) Changes to the Services

We may modify, discontinue, or remove features at any time. If a change materially reduces core functionality, you may terminate on written notice within 30 days of our notice and we will refund any prepaid fees for the unused portion of the term.

23) Force Majeure

Neither party is liable for delay or failure to perform due to events beyond reasonable control (including acts of God, labor disputes, internet/cloud provider failures, denial-of-service attacks, war, governmental actions). Obligations resume once the event ends.

24) Publicity

Unless you opt out by emailing legal@forstock.io, we may use your name and logo in customer lists, websites, and marketing materials to identify you as a customer, subject to any reasonable brand guidelines you provide.

25) Third-Party Websites & Content

The Services may link to third-party sites or content. We do not control or endorse third-party sites/content and are not responsible for them. Your use is at your own risk.

26) Assignment; Subcontracting & Subprocessors

You may not assign these Terms without our prior written consent (not unreasonably withheld); any unauthorized assignment is void. We may assign these Terms (in whole or part) or subcontract obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, or to affiliates. You authorize us to use subcontractors and subprocessors, including our affiliates, to provide the Services; we remain responsible for their performance and maintain written obligations no less protective than these Terms.

27) Entire Agreement; Order of Precedence

These Terms, the Privacy Policy, and any Orders constitute the entire agreement and supersede prior agreements regarding the Services. Order of precedence: (1) the applicable Order (for that Order), (2) these Terms, (3) the Privacy Policy, and (4) any referenced policies or attachments (e.g., DPA, SLA).

28) Severability; Waiver

If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain in effect. A failure to enforce a provision is not a waiver.

29) Notices

  • To you. We may provide notices via the Services interface or by email to your account email.
